TrueStart Coffee Ltd. – Terms & Conditions of Trading Welcome to TrueStart Coffee Ltd. This document sets forth the Terms & Conditions of Trading between TrueStart Coffee Ltd. (“we”, “us”, “our”) and its Business-to-Business (B2B) customers (“you”, “your”). These terms apply to all sales of products and services offered by TrueStart Coffee Ltd. to our B2B customers.

1. Acceptance

• By placing an order with us, you agree to be bound by these Terms & Conditions of Trading.
• These terms apply to all transactions between TrueStart Coffee Ltd. and its B2B customers, to the exclusion of any other terms you may seek to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing.

2. Orders and Specifications

• All orders are subject to acceptance by TrueStart Coffee Ltd. An agreement is binding only when we have confirmed the order in writing.
• It is your responsibility to ensure that the terms of your order, including specifications, quantities, delivery instructions and any other requirements, are complete and accurate.
• You must check upon delivery that the goods supplied are suitable and conform to your order. We accept no liability if you fail to do so.
• Once a purchase order has been placed by you and accepted by TrueStart Coffee Ltd., it cannot be cancelled by you for any reason. In the event of attempted cancellation, you remain fully liable for payment in full.

3. Pricing and Payment

• Prices for our products and services shall be as specified in our written quotation or, if none, as set out in our current price list at the time of your order.
• All prices are exclusive of VAT and any applicable delivery or handling charges, unless expressly stated otherwise.
• We reserve the right to adjust prices, terms, specifications and warranties for products on our website or in our catalogues without prior notice.
• Payment terms shall be as agreed between us. Unless otherwise agreed in writing, payment must be made in full prior to dispatch of goods. 

4. Delivery and Risk

• Delivery dates given are estimates only and time shall not be of the essence. We will endeavour to meet your requested delivery schedule but shall not be liable for any delay.
• Risk of loss or damage to the goods passes to you upon delivery. From that point you are responsible for all insurance, storage, handling and any further carriage of the goods. 

5. Returns and Refunds

• No return of products will be accepted without our prior written consent. All sales are final on delivery unless we expressly agree otherwise.
• Claims for short-delivery, damage or defect must be notified to us in writing within 5 working days of receipt. If validated, at our option we will replace the goods or refund the purchase price for the affected goods only. 

6. Intellectual Property

• All intellectual property rights in any products sold or services provided by TrueStart Coffee Ltd. shall remain vested in TrueStart Coffee Ltd. or its licensors. 

7. Limitation of Liability

• To the fullest extent permitted by law, TrueStart Coffee Ltd. shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:
  • any loss of profit, business, revenue, anticipated savings, goodwill or reputation; or
  • any indirect, special or consequential loss or damage arising under or in connection with any contract between us.
• Our total liability for all claims arising under or in connection with any contract between us shall in all circumstances be limited to the total price paid by you for the specific goods or materials giving rise to the claim. 

8. Force Majeure

• TrueStart Coffee Ltd. shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to act of God, war, strike, fire, flood, pandemic or supplier failure. 

9. Governing Law and Jurisdiction

•  These Terms & Conditions of Trading shall be governed by and construed in accordance with the laws of England & Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England & Wales.

10. Amendments

• TrueStart Coffee Ltd. reserves the right to update or amend these Terms & Conditions of Trading at any time without prior notice. The latest version shall be available on our website or upon request.
